GENERAL TERMS AND CONDITIONS OF ONLINE SALE

Any online purchase made on the website www.misterchrono.com is subject to prior reading and acceptance of these general terms and conditions of sale.

  • Article: any type of product offered for sale on the Site

  • Client: a non-commercial individual placing the Order, and possessing full legal capacity.

  • Order: commitment to purchase all Items selected by the Customer via the Site's e-commerce service.

  • Website: website published by misterchrono.com SARL L and accessible at www.misterchrono.com

  1. PREAMBLE

These general terms and conditions of sale (hereinafter "GTC") apply exclusively between any Customer and the company MisterChrono.com SARL (hereinafter "MisterChrono.com SARL") whose registered office is located at 13 rue Amelot 75011 Paris registered with the Paris Trade and Companies Register under number 514 02 53 03.

These Terms and Conditions are available for download in PDF format, in their updated version reflecting the latest modifications stipulated by MisterChrono.com SARL.

The General Terms and Conditions apply without restriction or reservation to all Items offered for sale on the Site.

The applicable Terms and Conditions are those appearing on the Site on the day of the Customer's Order.

All orders placed on the Site are subject to the prior and unreserved consultation and acceptance by the Customer of these Terms and Conditions and the applicable prices.

The Customer's "click" on the "Proceed to payment" button accessible on the page dedicated to order validation constitutes acceptance.

These Terms and Conditions supersede any other document.

  1. WARNING

The sale of Items on the Site is exclusively reserved for retail sale.

The Customer acknowledges and accepts that the Items can only be purchased in quantities corresponding to the average needs of a consumer, both in terms of the number of Items ordered in a single order and the number of individual Orders placed for the same product that respect the usual quantity for an average consumer. MisterChrono.com SARL reserves the right to refuse any order clearly placed by a professional reseller.

Every Customer declares to be aware of the unreliability of the Internet network, especially in terms of relative security in data transmission, no guaranteed continuity of access to the Site, no guaranteed performance in terms of volume and speed of data transmission and propagation of viruses.

MisterChrono.com SARL warns each Client of the need to implement within their computer or portable or mobile equipment a solution and security measures to prevent the spread of viruses.

  1. CREATING A CUSTOMER ACCOUNT

Anyone can freely and without charge create a customer account via the "Create an account" section.

Creating a customer account is done by filling out the form provided to the website user.

This account is strictly personal to him and allows him to identify himself before validating each Order.

When creating the Customer Account, the Customer enters the data which allows his/her identification under his/her full responsibility, control and direction and undertakes to provide complete, accurate and up-to-date information, and not to impersonate a third party, nor to mask or change his/her age.

When creating a customer account, the customer chooses their username (email) and password.

If the chosen identifier is already assigned, the system prompts the user to choose another one.

Usernames and passwords are personal and confidential. While MisterChrono.com SARL takes all necessary precautions and is committed to protecting the personal data of its Clients, the Client is informed of the need to keep their password secret and not to disclose it to any third party, for any reason whatsoever.

In the event of suspicion of the use of the username and password by a third party, the Client must immediately alert MisterChrono.com SARL in order to change their password and/or choose to close their customer account.

MisterChrono.com SARL reserves the right to close any customer account and consequently refuse any sale to a Customer in the event of non-payment of one or more previous Orders.

In this case, MisterChrono.com SARL will send an email to the Client concerned at the address provided when creating their account, informing them of the deactivation of their username and password and the closure of their account. The Client will be given eight (8) calendar days' notice to submit any comments to MisterChrono.com SARL, without prejudice to the suspension of their account during the notice period.

In general, the Client is informed that their account may be closed following the Client's first request sent by email to MisterChrono.com SARL.

  1. PRODUCT CHARACTERISTICS

The items available for sale are those listed on the Site. Offers are valid as long as they are visible on the Site.

They are offered subject to availability as displayed on the Site.

MisterChrono.com SARL reserves the right to withdraw from sale, at any time, any Item present on the Site and/or to replace or modify any information associated with the Items appearing on this Site.

In the event that an item is unavailable after an order has been placed, the customer will be informed by email, and their order will be automatically cancelled. MisterChrono undertakes to process the refund as soon as possible and at the latest within 14 days of the order cancellation.

The characteristics of the items sold on the Site (photographs, graphics, descriptions, etc.) may change over time. Only the image of the item displayed at the time of the order should be considered by the customer.

In the event of errors or omissions relating to the description of an Item, the liability of MisterChrono.com SARL is limited to the reimbursement of reasonable costs of returning the Item incurred by the Customer.

  1. ORDERING ITEMS

All orders imply an obligation to pay.

The Customer declares to be at least 18 years old and to have the legal capacity, or if a minor, guarantees to have parental authorization to place their Order.

To place an order, the customer must follow the online purchase process and click "Order" to submit the order.

Payment of the Order constitutes acceptance of these Terms and Conditions, the price of the Items and the content of the Order.

After payment validation, MisterChrono.com SARL sends the Customer an email confirming their Order.

All orders are subject to prior acceptance by MisterChrono and are only definitively confirmed after the customer receives an email confirming the shipment of the item(s).

Any order may be refunded if it is found that the conditions under which it was carried out violated these Terms and Conditions.

If the Customer does not receive any email following their Order, it is their responsibility to contact MisterChrono.com SARL customer service according to the procedures described in article 13 of these Terms and Conditions.

MisterChrono.com SARL cannot under any circumstances be held responsible for any input or transmission error attributable to the Client which does not allow the delivery of the confirmation email and/or the Order.

The Customer is advised to print the order confirmation email.

For any questions relating to the tracking of an Order, the Customer must consult their customer account on the Site or contact customer service according to the procedures described in article 14 of these Terms and Conditions.

  1. PRICES OF ITEMS

Prices are shown on the French website in euros, on the Singapore website in Singapore dollars and on the Hong Kong website in Hong Kong dollars, inclusive of all taxes (TTC), excluding shipping costs.

They take into account VAT and any applicable discounts on the day of the order.

Any new taxes or contributions, particularly environmental ones, are likely to be passed on, either increasing or decreasing, to the selling price of the Items.

Product prices do not include delivery charges (shipping, packaging and preparation of the parcel according to applicable rates).

The shipping costs are specified on the Site before the Order is validated.

MisterChrono.com SARL reserves the right to modify the prices of the Items at any time, the Items being invoiced on the basis of the rates in effect at the time of validation of each Order.

The price of the items charged is therefore the one indicated at the time of the order.

  1. ORDER PAYMENT

All orders imply an obligation to pay by credit card using a bank account with sufficient funds or via PayPal. The order is only final upon full payment of the price and associated fees.

The price charged to the Customer is the price indicated in the Order confirmation sent to the Customer by email.

The order is payable immediately, by credit card (CB, Visa, MasterCard, American Express), payment account (Paypal) or bank transfer.

The Customer is informed by email, once the Order has been shipped, that their invoice including delivery charges and VAT applicable on the day of the Order, is accessible online in the customer account.

Transactions carried out on the Site are handled by a secure online payment platform.

This solution features highly secure pages for entering payment data: card number, expiry date and visual cryptogram.

This platform encrypts and then transmits this payment data to the bank, in complete confidentiality and making it inaccessible to any third party.

The customer can save their bank details to their account. In this case, the data remains encrypted and inaccessible.

  1. DELIVERY CONDITIONS

Items are delivered only to the countries selectable on the website.

The Customer will receive an order number by email confirming that their order has been successfully processed. The Customer will be kept informed of the various stages of their order by email.

Shipments are announced by email to the Customer, at the email address provided by the Customer on their customer account.

The Customer is offered several delivery methods chosen by the Customer:

  • In-store pickup is offered to customers

If the Customer chooses home delivery:

  • Using the shipping number, the Customer can track the progress of their package on the carrier's website.

  • The Customer is informed that it is his responsibility to provide exactly all the details necessary for the proper routing of his Order and for perfect delivery (access code, access specification for example).

  • If the Customer is absent at the time of delivery, a delivery notice informs the Customer of the arrangements for the storage of their package and its availability, under the full and exclusive responsibility of the carrier.

  • A delivery note is included in the package, summarizing the items ordered and actually delivered.

  • The Customer assumes full and exclusive risk of loss or damage to the Items from the moment of delivery.

MisterChrono.com SARL also offers the Customer the option of choosing free in-store delivery (excluding corners, department stores, outlets and promotional periods):

  • The Customer is notified by email when their Order is available in the chosen store.

  1. DELIVERY TIMES

The Items are delivered to the delivery address indicated by the Customer when placing the Order, at the latest by the end of the period indicated when placing the Order, depending on the country of delivery.

Each delivery is deemed to have been made upon the parcel being made available to the Customer, in particular by the carrier, as evidenced by the control system used by the carrier.

  1. RIGHT OF WITHDRAWAL AND RETURN PROCEDURES


Right of withdrawal applies to online orders only:

Pursuant to Directive 2011/83/EU of the European Parliament and of the Council of 25 October 2011 on consumer rights and Law No. 2014-344 of 17 March 2014 as transposed into Articles L. 221-18 et seq. of the Consumer Code, any consumer has the right to cancel their order at any time within 14 calendar days following the date on which they received the item(s) and without having to give reasons or pay penalties.

Return shipping costs are the responsibility of the customer. The customer arranges the return shipping at their own expense after first contacting MisterChrono.com SARL by email.

Once the returned item(s) have been verified, MisterChrono.com SARL undertakes to reimburse the Customer as soon as possible after notification of the withdrawal request. If the item(s) in question are not received or proof of shipment is not provided within this timeframe, MisterChrono.com SARL reserves the right to postpone the reimbursement until the item(s) in question are received or the Customer provides proof of shipment of the item(s) in question.

The full amount paid for the item in question, to the bank account or payment account of the Customer used for payment of the item(s), for their Order.

The customer will receive a confirmation email once the refund has been initiated.

  1. EXCHANGE AVAILABLE IN STORE

Without prejudice to the provisions relating to the return or the right of withdrawal mentioned above, MisterChrono.com SARL offers the Customer the possibility of exchanging in an eligible store the Items ordered on its Site.

To be accepted, this exchange must be carried out in strict compliance with the following conditions:

  • The Customer must return their item within a maximum of 30 (thirty) calendar days after receiving their order, accompanied by the order shipment email and the email authorizing the exchange in store.

  • The exchange of the returned item will be based on the price paid when ordering on our Site.

  • Any item returned for exchange must be properly protected, in its original packaging (carefully opened packaging will not be considered damaged packaging) and in perfect condition for resale (undamaged, unused, unsoiled or washed by the customer).

  1. CUSTOMER SERVICE

For any information or questions, for order tracking, or to claim under the warranty, the Customer must contact Customer Service by email by filling out the contact form located on the Site's contact page or by phone at 09 72 81 99 92.

  1. GUARANTEES

The items are guaranteed against defects in conformity and latent defects under the conditions set out in Articles 1641 to 1649 of the Civil Code and L 217-1 et seq. of the Consumer Code, from the date of delivery:

• Warranty against hidden defects

I

• Article 1641 of the Civil Code: the seller is bound by the warranty against hidden defects in the thing sold which render it unfit for the use for which it is intended, or which diminish this use to such an extent that the buyer would not have acquired it, or would have given only a lower price, if he had known of them.

• Article 1643 of the Civil Code: he is liable for hidden defects, even if he did not know them, unless, in that case, he stipulated that he would not be bound by any guarantee.

• Article 1644 of the Civil Code: in the case of articles 1641 and 1643, the buyer has the choice of returning the thing and having the price refunded, or keeping the thing and having part of the price refunded.

• Article 1646: if the seller was unaware of the defects in the thing, he shall only be required to return the price, and to reimburse the buyer for the costs incurred by the sale.

• Article 1648 paragraph 1 of the Civil Code: the action resulting from latent defects must be brought by the purchaser within two years from the discovery of the defect.

• Legal guarantee of conformity

• Article L 217-4 of the Consumer Code: the seller must deliver goods that conform to the contract and is liable for any lack of conformity existing at the time of delivery. The seller is also liable for any lack of conformity resulting from the packaging, assembly instructions, or installation when the latter was the seller's responsibility under the contract or was carried out under the seller's supervision.

• Article L 217-5 of the Consumer Code: the goods conform to the contract:

1/ If it is fit for the purpose for which similar goods are normally used and, where applicable:

• if it corresponds to the description given by the seller and possesses the qualities that the seller presented to the buyer in the form of a sample or model;

• if it possesses the qualities that a buyer can legitimately expect, having regard to the public statements made by the seller, the producer or their representative, particularly in advertising or labelling;

2/ Or if it has the characteristics defined by mutual agreement between the parties or is suitable for any special purpose sought by the buyer, brought to the attention of the seller and which the latter has accepted.

• Article L. 217-7 paragraph 1 of the Consumer Code: Defects of conformity which appear within twenty-four months from the delivery of the goods are presumed to have existed at the time of delivery, unless proven otherwise.

• Article L. 217-9 of the Consumer Code: In the event of a lack of conformity, the buyer may choose between repair and replacement of the goods. However, the seller may refuse the buyer's choice if it entails a cost that is clearly disproportionate to the other option, taking into account the value of the goods or the significance of the defect. In such a case, the seller is obligated to proceed, unless impossible, according to the option not chosen by the buyer.

• Article L 217-10 of the Consumer Code: If repair and replacement of the goods are impossible, the buyer may return the goods and receive a full refund or keep the goods and receive a partial refund. The buyer has the same option:

1/ If the solution requested, proposed or agreed upon pursuant to Article L. 217-9 cannot be implemented within one month of the buyer's claim;

2/ Or if this solution cannot be implemented without major inconvenience to the latter, taking into account the nature of the property and the use he seeks.

However, the sale cannot be rescinded if the non-conformity is minor.

Article L 217-11 of the Consumer Code: the provisions of Articles L. 217-9 and L. 217-10 apply at no cost to the buyer. These same provisions do not preclude the awarding of damages.

Article L 217-12 of the Consumer Code: the action resulting from the lack of conformity is time-barred after two years from the delivery of the goods.

This guarantee allows the Customer to return defective or non-compliant delivered Items for a refund under the conditions outlined above.

The Customer may contact MisterChrono.com SARL via the Site's contact form to obtain any information relating to the exercise of these guarantees. In accordance with Article 24 of these Terms and Conditions, the Customer shall first contact MisterChrono.com SARL to seek an amicable solution when invoking one of the aforementioned guarantees.

  1. CONVENTION ON EVIDENCE

The Customer acknowledges and accepts that the Order recording systems constitute proof of all transactions between MisterChrono.com SARL and the Customer.

The Customer acknowledges and accepts that proof of acceptance of these Terms and Conditions (and any updates thereto) is characterized by validating their order, and this for each order.

To this end, the Client acknowledges and accepts that the computerized data stored within the computer servers of MisterChrono.com SARL under reasonable conditions of security and integrity shall be considered, irrefutably, as proof of acceptance of the terms of the General Terms and Conditions and proof of all transactions between MisterChrono.com SARL and the Client.

Consequently, unless there is a manifest error by MisterChrono.com SARL proven by the Client, the latter may not contest the admissibility, validity or probative value of the CGV and the content of the Order, on the basis of any legal provision whatsoever which would specify that certain documents must be written or signed to constitute proof.

Thus, these elements constitute evidence and, if produced as means of proof by MisterChrono.com SARL in any contentious or other proceedings, will be admissible, valid and enforceable in the same way, under the same conditions and with the same probative force as any document which would be established, received or kept in writing.

At any time, the Client has the option to print, download, and save a copy of the Terms and Conditions on paper and electronic media.

  1. RESPONSIBILITY

MisterChrono.com SARL reserves the right to modify the information contained in this Site at any time and without notice.

MisterChrono.com SARL undertakes to describe the Items sold on the Site with the greatest accuracy and to ensure the updating of the information disseminated therein under the best possible conditions.

The Customer acknowledges and accepts that the prices of the Items may vary between the Website and the stores, and that under no circumstances can this price difference form the basis of a request for a full or partial refund of Items purchased either on the Website or in stores, outside of their right of withdrawal under the conditions provided for in Article 11 of these Terms and Conditions.

MisterChrono.com SARL shall not be held liable for any failure to perform its contractual obligations resulting from a fortuitous event or force majeure as defined by French case law. Force majeure is an external, unforeseeable, and irresistible event.

In particular, MisterChrono.com SARL will not be held responsible for any failure or delay in the execution of Orders, caused by events beyond its control ("Force Majeure Event").

A Force Majeure Event includes any act, event, non-occurrence, omission or accident beyond the control of MisterChrono.com SARL and includes in particular (non-exhaustive list):

  • Strikes, closures or other industrial actions.

  • Civil unrest, riot, invasion, terrorist attack or threat of terrorist attack, war (declared or undeclared), or threat or preparation for war.

  • Fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disasters.

  • Inability to use transport by rail, boat, plane, road or other means of private or public transport.

  • Inability to use public and private telecommunications networks.

  • Acts, decrees, legislation, regulations or restrictions of all governments.

  • Strikes, failures or accidents in maritime, postal or other transport.

The execution of these Terms and Conditions will be suspended for the duration of the Force Majeure event, and the execution and delivery deadlines will be extended accordingly. MisterChrono.com SARL will make every effort to end the Force Majeure event or find a solution enabling it to fulfill its contractual obligations despite the Force Majeure event.

  1. LICENSE

MisterChrono.com SARL grants the Client a limited license for personal use of the Site, excluding any professional or commercial use of the Site.

Under no circumstances is the Client authorized to download or modify all or part of this Site without the prior, written and express authorization of MisterChrono.com SARL.

This Site or any part of this Site may not be reproduced, copied, sold, downloaded, modified or exploited for commercial or professional purposes without the prior, written and express permission of MisterChrono.com SARL.

The Client must not use techniques to copy a trademark, logo or any other information (including images, text, mock-ups) owned by MisterChrono.com SARL without its prior express written consent.

MisterChrono.com SARL grants the Client, on a non-exclusive and revocable basis, the right to create a hyperlink to the Site's homepage, provided that this link does not harm the interests of MisterChrono.com SARL. In particular, inserting a hyperlink that could lead users to believe the Articles are infringing could harm the interests of MisterChrono.com SARL.

Under no circumstances will the creation of this hyperlink engage the responsibility of MisterChrono.com SARL, for any reason whatsoever.

  1. PROTECTION OF PERSONAL DATA

The Customer is informed and agrees that his personal data may be collected on the Site and used by MisterChrono.com SARL which acts as data controller within the meaning of Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC (hereinafter “General Data Protection Regulation” or “GDPR”).

MisterChrono.com SARL is committed to protecting and ensuring the security and confidentiality of its Clients' personal data in accordance with the GDPR, in particular by taking all necessary precautions to prevent this data from being distorted, damaged or accessed by unauthorized third parties.

In particular, Customers' personal data may be transmitted to service providers and contractual partners who, as data processors under the GDPR, are directly involved in and contribute to Order management and for whom access to the personal data provided by the Customer when creating and using their Account (identity, postal address, telephone number, email address) is absolutely necessary. These data processors may only act on the instructions of MisterChrono.com SARL.

Customer personal data is collected for the following purposes:

  • Order management and customer relations;

  • Customer information regarding offers and commercial information related to the brand

  • strengthening and improving communication on the Website and the brand by sending, in particular, newsletters and special offers based on the Customer's preferences observed on the Website;

  • the improvement and personalization of services offered to Clients;

  • compliance with legal and regulatory obligations.

The Client's personal data is only kept for the period strictly necessary for the purposes previously stated.

In accordance with the GDPR, the Client has the right to access, rectify and object to personal data concerning him/her (hereinafter the "Data Protection Rights").

To exercise one or more of the Data Protection Rights, the Customer must send a request by email or by post to the Customer Service of MisterChrono.com SARL, by filling in the contact form located on the site or by writing to the following address indicating his name, surname, email address and his customer references: MisterChrono.com SARL Customer Service.

Each request must be signed and accompanied by a photocopy of an identity document bearing the Client's signature and specify the reply address.

The response to the request made on the basis of one or more Data Protection Rights will be sent within 2 months of receipt of the request.

The Client may communicate to MisterChrono.com SARL specific instructions in which he or she defines how he or she intends for the Data Protection Rights to be exercised after his or her death in accordance with the GDPR.

  1. COMMERCIAL OFFERS AND NEWSLETTERS

MisterChrono.com SARL may send Customers information relating to the brand's Articles and commercial offers by mail, email, sms, telephone or via all web spaces operated by MisterChrono.com SARL or any of its subsidiaries on social networks, subject to prior acceptance.

The Customer has the right at any time to object, free of charge, to these commercial prospecting mailings, by clicking on the "unsubscribe" link in each email or by making the request to a store, via their internet account, by mail or by replying STOP by SMS.

This "COOKIES" section provides more information about the origin and use of browsing information processed when visiting our Site and about users' rights.
